This Terms of Service Agreement (“Agreement”) is entered into by and between WhyUnrank, hereinafter referred to as “we,” “us,” or “our,” and you, the client, hereinafter referred to as “you,” “your,” or “the client.” This Agreement outlines the terms and conditions under which we provide our search engine optimization (SEO) services to you.

By engaging our services, you agree to comply with and be bound by this Agreement. If you do not agree with any part of these terms, please do not use our services.

1. Services Offered

We offer a range of SEO services, including but not limited to:

• Keyword research and analysis
• On-page and off-page optimization
• Content creation and optimization
• Technical SEO improvements
• Link building
• SEO analytics and reporting

The specific services provided to you will be outlined in a separate Service Proposal or Statement of Work (SOW).

2. Payment Terms

• Fees: You agree to pay the fees specified in the Service Proposal or SOW. Payment terms may vary, but typically include upfront fees and ongoing monthly payments.

• Invoices: Invoices will be issued in advance of the service period. Payment is due within [number of days] days from the invoice date. Late payments may result in service suspension or termination.

• Refunds: We offer a 30-day satisfaction guarantee. If you are not satisfied with our services within this period, you may request a refund, subject to the terms and conditions specified in the Service Proposal or SOW.

3. Duration and Termination

• Duration: The duration of our services will be specified in the Service Proposal or SOW. Unless otherwise stated, services are provided on a monthly basis and will automatically renew at the end of each term.

• Termination: Either party may terminate this Agreement by providing written notice to the other party, subject to the following:

  • Termination for Cause: We may terminate this Agreement immediately if you breach any material term or condition, including non-payment of fees.

  • Termination for Convenience: You may terminate this Agreement with 30 days’ written notice for any reason.

4. Contract Amendments

• Amendments to this Agreement must be made in writing and signed by both parties. Any changes to the scope of work, fees, or other terms will be documented in a revised Service Proposal or SOW.

5. Confidentiality

• We will not disclose any confidential information provided by you, and we will take reasonable measures to protect the confidentiality of your data and proprietary information.

6. Limitation of Liability

• We will not be liable for any consequential, indirect, special, punitive, or incidental damages, even if we have been advised of the possibility of such damages.

7. Governing Law and Jurisdiction

• This Agreement shall be governed by and construed in accordance with the laws of Karnataka, and any disputes arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the courts located within India.

By engaging our services, you acknowledge that you have read, understood, and agreed to all the terms and conditions outlined in this Agreement. This Agreement constitutes the entire agreement between you and WhyUnrank and supersedes all prior agreements and understandings.
